Welcome to ScriptVil, the ultimate marketplace for developers to discover, buy, and sell high-quality web development scripts and utilities. Our platform brings together talented developers from around the world who spend months perfecting their code to create professional-grade PHP scripts, Python scripts, JavaScript utilities, CSS frameworks, HTML templates, and WordPress themes. Unlike other marketplaces with strict approval processes and high commission rates, ScriptVil welcomes all developers while maintaining high-quality standards, ensuring more scripts get approved and reach the hands of those who need them. With multi-currency support, secure transactions, instant downloads, and a robust support system featuring end-to-end encrypted chat, ScriptVil provides the ideal environment for both buyers and sellers. These Terms of Service ("Terms") constitute a legally binding agreement between you and ScriptVil governing your access to and use of our platform. When participating in our marketplace as a buyer or seller:

  • Honesty in Transactions: You must engage in all marketplace activities with integrity and transparency, accurately representing your scripts or intentions as a buyer.
  • Fair Pricing: As a seller, you should set reasonable and transparent prices for your scripts, clearly indicating what is included in the purchase and any additional costs for extended support or customization.

Platform Service Limitations

Understanding Our Service Boundaries

Availability Guarantees

While we strive to provide reliable service, there are limitations to our availability guarantees:

  • Uptime Target: We aim to maintain a 99.5% uptime for our platform, excluding scheduled maintenance periods. This means the platform should be operational and accessible for at least 99.5% of the time.
  • Scheduled Maintenance: We perform regular maintenance to improve security, performance, and functionality. We will provide advance notice for scheduled maintenance whenever possible through our status page and email notifications.
  • Service Continuity: While we strive for continuous availability, we do not guarantee uninterrupted access to our services. Temporary disruptions may occur due to technical issues, maintenance, or factors beyond our control.
  • Peak Load Management: During periods of exceptionally high traffic, we may implement temporary access limitations or queuing systems to maintain platform stability for all users.
  • Emergency Maintenance: In cases where urgent security patches or critical fixes are required, we reserve the right to perform emergency maintenance with limited or no advance notice to protect the platform and user data.

Support Scope

Our customer support has defined boundaries:

  • Platform Support: We provide support for marketplace functionality, account issues, transaction processing, and other platform-specific features.
  • Script Functionality: We do not provide technical support for the functionality of individual scripts sold on our platform. Script-specific support is the responsibility of the script author or seller.
  • Feature Coverage: Support is limited to documented features and functionality of our platform as described in our help center and documentation.
  • Response Times: Our standard support response time is within 24-48 business hours, depending on the complexity and urgency of the issue.
  • Language Support: Our primary support language is English. While we may offer limited assistance in other languages, comprehensive support is only guaranteed in English.
  • Self-Service Resources: We provide extensive self-service documentation, FAQ sections, and community forums to address common questions and issues.

Content Limitations

Regarding the scripts and content on our platform:

  • Quality Disclaimer: While we implement basic review processes, we do not guarantee the quality, performance, or security of scripts sold on our platform. Buyers should review scripts carefully before purchase.
  • Compatibility Assurance: We do not guarantee that scripts will be compatible with all environments, software versions, or configurations. Script compatibility information is provided by sellers and should be verified before purchase.
  • Content Moderation: Our content moderation is primarily reactive, based on user reports and automated detection systems. We remove content that violates our policies when identified, but we do not proactively review all content.
  • Storage Limits: Each script package is subject to a maximum size limit of 1.5GB, including all files, documentation, and resources.
  • Bandwidth Restrictions: To ensure platform stability, we implement bandwidth limitations for high-volume downloads, particularly for larger script packages.
  • Inactive Account Policies: Content associated with accounts that have been inactive for extended periods may be subject to our retention policies, potentially resulting in removal after appropriate notice.

Financial Considerations

Important information about financial aspects of our service:

  • Payment Processing Dependencies: Our payment processing relies on third-party providers, and we cannot guarantee continuous availability of all payment methods at all times.
  • Security Holds: Transactions that trigger our security systems may be subject to temporary holds or additional verification requirements to prevent fraud.
  • Currency Conversion: Exchange rates for currency conversion are set by our financial partners and may fluctuate. We do not guarantee specific exchange rates for international transactions.
  • Tax Calculations: While we provide tools to help with tax calculations, the accuracy of tax applications depends on the information provided by users and current tax regulations.
  • Commission Structure: Our commission rates and fee structure may change with appropriate notice. Current rates are published in our seller documentation.
  • Payout Timing: The processing time for withdrawals and payments to sellers depends on the payment method selected and may range from 1-7 business days after the clearing period.

Legal Boundaries

Important legal limitations of our service:

  • Intermediary Status: ScriptVil functions as an intermediary platform connecting script sellers and buyers. We are not the seller of the scripts and do not take ownership of the content being sold.
  • Dispute Resolution Role: While we provide tools and processes for dispute resolution between users, we do not offer legal representation or advice in user disputes.
  • Liability Limitations: Our liability for damages arising from platform use is limited as specified in our detailed limitation of liability provisions below.
  • Warranty Scope: We provide the platform "as is" and do not offer warranties beyond the statutory minimums required by applicable law.
  • Transaction Responsibility: We facilitate but are not responsible for the performance of either party in user-to-user transactions, including script delivery, quality, or post-sale support.
  • Jurisdictional Restrictions: Certain features or aspects of our service may not be available in all jurisdictions due to legal constraints, export controls, or regulatory requirements.

Account Termination Conditions

Circumstances That May Lead to Account Closure

Terms Violations

Your account may be terminated for the following violations:

  • Policy Infractions: Repeated or severe violations of our Terms of Service, Community Guidelines, or other platform policies may result in account termination.
  • Intellectual Property Violations: Uploading or selling content that infringes on the intellectual property rights of others, including copyright, trademark, or patent infringement.
  • Security Breaches: Attempting to breach platform security, exploit vulnerabilities, or hack into other user accounts or our systems.
  • Fraudulent Activities: Engaging in fraudulent transactions, creating fake reviews, manipulating the platform's ranking systems, or misrepresenting script functionality.
  • Abusive Behavior: Harassment, threats, hate speech, or any form of abusive behavior toward other users, staff, or the community.
  • Identity Misrepresentation: Providing false identification information, impersonating others, or misrepresenting credentials or qualifications.

Inactivity Parameters

Your account may be subject to deactivation or termination due to inactivity:

  • Extended Inactivity: Accounts with no login activity for 24 or more consecutive months may be deactivated to maintain platform security and resource efficiency.
  • Notification Non-Response: Failure to respond to critical account notifications, security alerts, or important policy updates after multiple attempts.
  • Abandoned Scripts: For seller accounts, failing to provide support or updates for published scripts that have active users or contain security vulnerabilities.
  • Payment Method Expiration: Accounts with expired payment methods that have pending transactions or subscription renewals without updates after multiple notifications.
  • Security Concerns: Accounts flagged for potential security issues that remain unresolved after notification and a reasonable resolution period.
  • Verification Failures: Accounts that fail to complete required verification steps, such as email confirmation or identity verification for high-value transactions.

Termination Process

Our standard process for account termination includes:

  • Warning Notification: For most violations, we issue a warning notification that identifies the specific issue and provides guidance on how to correct it.
  • Temporary Suspension: For serious or repeated violations, we may temporarily suspend your account while we investigate or until corrective actions are taken.
  • Final Notice: Before permanent termination, we typically provide a final notice that outlines the specific violations and the impending account closure.
  • Grace Period: When applicable, we provide a grace period (typically 14-30 days) to download your data, complete pending transactions, or transfer active scripts to other platforms.
  • Confirmation Notice: Once an account is terminated, we send a confirmation notification with information about any remaining obligations or options.
  • Appeal Information: The termination notice includes information about the appeal process, including how to submit an appeal and the expected timeline for review.

Post-Termination Effects

After your account is terminated:

  • Access Revocation: You will immediately lose access to your account, dashboard, and all platform features.
  • License Status: License certificates for scripts you have purchased may be invalidated or transferred to our escrow system, depending on the reason for termination.
  • Support Access: Support threads and communication channels associated with your account will be closed, although records will be maintained according to our data retention policies.
  • Content Removal: Scripts and other content you have published on the marketplace will be removed from public view and search results.
  • Financial Processing: Any pending commissions or payments will be processed according to our standard payment schedule, unless the termination is due to fraud or terms violations.
  • Reviews Preservation: Reviews and ratings associated with your account or scripts will generally be preserved for marketplace integrity, even after account termination.

Reinstatement Possibilities

Depending on the circumstances, account reinstatement may be possible:

  • Appeal Process: We provide an appeal process for users who believe their account was terminated in error or who have addressed the issues that led to termination.
  • Probationary Reinstatement: In some cases, we may offer reinstatement with a probationary period during which stricter compliance monitoring is applied.
  • Verification Requirements: Reinstated accounts typically require additional verification steps to confirm identity and prevent abuse.
  • Waiting Periods: For serious violations, we may impose a waiting period before considering reinstatement requests, typically ranging from 30 days to 1 year.
  • Documentation Requirements: Appeals must include specific documentation addressing the reason for termination, corrective actions taken, and commitments to future compliance.
  • Permanent Bans: Some violations, particularly those involving fraud, serious security breaches, or legal violations, may result in permanent bans with no possibility of reinstatement.

Dispute Resolution Procedures

How Disagreements Are Addressed

User-to-User Disputes

When conflicts arise between marketplace users:

  • Direct Communication: The first step in resolving any dispute is direct communication between the parties involved. Our end-to-end encrypted messaging system facilitates secure communication while maintaining privacy.
  • Mediation Tools: We provide structured mediation tools, including templated resolution options, collaborative issue tracking, and guided negotiation processes.
  • Evidence Submission: Our dispute system allows both parties to submit evidence, including screenshots, communication records, and technical documentation relevant to the issue.
  • Support Team Evaluation: If direct resolution is unsuccessful, our support team will review the evidence provided by both parties and make a neutral assessment based on our marketplace policies.
  • Binding Resolution: For disputes involving marketplace transactions, our final determination is binding on both parties as a condition of using our platform.
  • External Matters: For disputes extending beyond our platform's scope (such as custom development work arranged privately), we provide resources for external resolution options but cannot enforce outcomes.

User-Platform Disputes

When issues arise between users and ScriptVil:

  • Support Ticket: The initial step is submitting a detailed support ticket through our help center, clearly describing the issue, expected outcome, and any relevant context.
  • Escalation Path: If the initial response doesn't resolve your concern, you can request escalation to our specialized teams focused on specific areas such as payments, content review, or account security.
  • Senior Review: Persistent or complex issues may be escalated to senior management for review, particularly those involving policy interpretation or significant financial matters.
  • Documentation Requirements: To facilitate efficient resolution, we may request specific documentation or evidence related to your claim, which should be provided in a timely manner.
  • Resolution Timeline: We provide estimated timelines for each stage of the dispute process, with typical initial response within 2 business days and escalated review within 5-7 business days.
  • Final Determination: After thorough review, we provide a final determination along with a detailed explanation of the decision and any actions to be taken.

Financial Disputes

For disputes involving payments, refunds, or financial matters:

  • Transaction Documentation: All financial disputes require comprehensive documentation, including transaction IDs, payment confirmations, and communication records related to the purchase or sale.
  • Chargeback Prevention: Before initiating a chargeback through your payment provider, you must attempt resolution through our dispute system. Chargebacks without prior dispute filing may result in account restrictions.
  • Payment Processor Involvement: For certain payment disputes, we work directly with our payment processors (Stripe globally and PayStack specifically for Nigerian users) to investigate and resolve issues, which may require additional verification steps.
  • Evidence Guidelines: We provide specific guidelines for submitting evidence in financial disputes, including acceptable file formats, required metadata, and documentation standards.
  • Resolution Timeline: Financial disputes typically require 5-10 business days for full investigation and resolution due to the involvement of third-party payment processors and banking systems.
  • Refund and Compensation: Our refund policy outlines specific criteria for full refunds, partial refunds, and compensation for service disruptions or product issues, which are applied consistently to all financial dispute resolutions.

Intellectual Property Conflicts

For disputes involving copyright, licensing, or other intellectual property issues:

  • DMCA Process: For copyright infringement claims, we follow a standardized Digital Millennium Copyright Act (DMCA) process requiring specific notification elements and signed declarations of ownership.
  • Trademark Disputes: We have a dedicated process for trademark disputes requiring proof of trademark registration or common law rights and evidence of infringement or confusion.
  • License Interpretation: When disputes involve license terms interpretation, we refer to the explicit language of the license agreement and industry standard practices to determine appropriate resolution.
  • Expert Review: For technically complex disputes, we may engage subject matter experts to evaluate code similarity, functional implementation, or other technical aspects that require specialized knowledge.
  • Temporary Measures: During investigation of intellectual property claims, we may temporarily remove or restrict access to disputed content as a precautionary measure without prejudice to either party.
  • Final Determinations: After thorough review, we provide a final determination and take appropriate enforcement actions, which may include permanent content removal, license revocation, or account restrictions.

Legal Framework

The legal structure governing disputes on our platform:

  • Governing Law: These Terms are governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles.
  • Arbitration Provision: By using our platform, you agree that any dispute not resolved through our internal processes will be resolved through binding arbitration administered by [Arbitration Organization] under their commercial arbitration rules.
  • Class Action Waiver: You agree to resolve disputes with ScriptVil on an individual basis and waive any right to participate in a class action, class-wide arbitration, or representative action.
  • Small Claims Option: Notwithstanding the arbitration agreement, either party may bring an individual action in small claims court for disputes within the scope of its jurisdiction.
  • International Considerations: For users outside the United States, dispute resolution will comply with local laws where mandatory, while still applying the chosen governing law for substantive issues when permissible.
  • Venue Selection: Any legal proceedings arising out of or relating to these Terms or your use of our platform that are not subject to arbitration shall be brought exclusively in the courts located in [Jurisdiction].

Marketplace Specific Terms

Special Provisions for Script Sellers and Buyers

Script Submission and Review

Guidelines for submitting scripts to our marketplace:

  • Submission Process: All scripts submitted to our marketplace undergo an initial review process to ensure they meet our basic quality standards, do not contain malicious code, and comply with our content policies.
  • Review Criteria: Scripts are evaluated based on documentation quality, code structure, security practices, performance, and compliance with stated functionality.
  • Review Timeline: Initial review typically takes 3-5 business days, with more complex scripts potentially requiring additional time.
  • Rejection Reasons: Scripts may be rejected for security vulnerabilities, poor code quality, inadequate documentation, license conflicts, or similarity to existing marketplace offerings.
  • Revision Opportunities: If your script is rejected, you will receive feedback and have the opportunity to address issues and resubmit.

Licensing Models

Available licensing options for scripts on our marketplace:

  • Regular License: Permits use of the script in a single end product (website or application) that end users are not charged to access or use.
  • Extended License: Allows use in products where end users can be charged for, including SaaS (Software as a Service) applications or products for resale.
  • Multiple-Use License: Allows the buyer to use the script on a specified number of projects or domains, typically at a higher price point than the single-use license.
  • Custom Licensing: Sellers may offer custom licensing terms for specific use cases, enterprise customers, or unique deployment scenarios.
  • License Enforcement: ScriptVil provides tools to help enforce licensing terms, but ultimate responsibility for compliance rests with the buyer.

Commission Structure

Financial terms for marketplace transactions:

  • Standard Commission: ScriptVil retains a standard commission of 25% from each script sale, with the remaining 75% paid to the seller. After achieving 500 total sales, the commission rate automatically reduces to 15%, increasing your share to 85% of each sale.
  • First 50 Authors Benefit: As part of our launch promotion, the first 50 approved authors receive fee waivers for the first 2 months (except 10% affiliate fee), a "Pioneer Author" badge, featured placement consideration, and free promotion for 6 months.
  • Payment Processing Fees: Payment processing fees are included in the platform commission and are not charged separately to sellers.
  • Tax Considerations: Sellers are responsible for applicable taxes on their earnings, and buyers may be charged sales tax or VAT depending on their location.
  • Payout Schedule: Seller earnings are paid according to our standard payout schedule, typically monthly after a 14-day clearing period to allow for potential refunds or disputes.

Support Requirements

Support expectations for script sellers:

  • Initial Response Time: Sellers must respond to support inquiries within 48 hours (excluding weekends and holidays) to maintain good standing on the marketplace.
  • Support Duration: Standard support period is 6 months from the date of purchase, with options for sellers to offer extended support periods as premium features.

  • Support Channels: Support is provided through our platform's end-to-end encrypted messaging system to maintain communication records and ensure accountability.

Refund Policy

Guidelines for script refunds:

  • Refund Eligibility: Due to the digital nature of our products, ScriptVil maintains a strict no-refund policy in most circumstances. Refunds may be considered only in exceptional cases such as completely non-functional scripts or critical functionality being entirely absent.
  • Technical Compatibility: Refunds may be granted if the script is incompatible with the specified environment despite the buyer's system meeting all stated requirements.
  • Support Failure: Refunds may be considered if the seller fails to provide the promised level of support or does not respond to critical support requests within the guaranteed timeframe.
  • Refund Exclusions: Refunds are generally not provided for changes in project requirements, buyer's remorse, or situations where the buyer simply found a better alternative.
  • Partial Refunds: In some cases, partial refunds may be offered for scripts that partially meet their described functionality but have significant limitations not disclosed in the listing.
